Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by Mirasi Provisions ("we", "us", or "our"), including the EcoTrack platform, website, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

If you are using the Services on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms, and "you" refers to both you individually and that organisation.

2. Description of Services

EcoTrack is an offline-first, blockchain-verified plastic waste traceability platform. The Services include:

• Waste recovery logging and verification
• Chain of custody documentation
• Compliance reporting tools
• API access for integration
• Mobile application for field operations

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.

3. Eligibility

You must be at least 18 years of age to use the Services. By using the Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

4. Account Registration

Some features of the Services require you to register for an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain the security of your password and account
• Notify us immediately of any unauthorised use of your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that provide false or misleading information.

5. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable law or regulation
• Interfere with or disrupt the integrity or performance of the Services
• Attempt to gain unauthorised access to the Services or their related systems
• Transmit any viruses, malware, or other harmful code through the Services
• Use the Services to transmit false, misleading, or fraudulent data
• Reverse engineer, decompile, or disassemble any part of the Services
• Use automated systems or software to extract data from the Services without our written consent

6. Intellectual Property

All content, features, and functionality of the Services — including but not limited to text, graphics, logos, icons, images, data, software, and code — are the exclusive property of Mirasi Provisions or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to use the Services for your internal business purposes in accordance with these Terms.

7. Data and Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Services, you consent to the collection and use of information as described in the Privacy Policy.

You retain ownership of any data you submit through the Services. You grant us a limited licence to process this data as necessary to provide and improve the Services.

8. Service Availability

We strive to maintain high availability of the Services but do not guarantee uninterrupted access. The Services may be temporarily unavailable due to:

• Scheduled maintenance
• Emergency repairs
• Factors beyond our reasonable control

We will provide reasonable notice of scheduled maintenance when possible.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Services are provided "as-is" and "as-available" without warranties of any kind, whether express, implied, or statutory
• We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• In no event shall Mirasi Provisions, its directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services
• Our total liability to you shall not exceed the amount you paid us, if any, in the twelve (12) months preceding the claim

10. Indemnification

You agree to indemnify, defend, and hold harmless Mirasi Provisions and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Any data you submit through the Services

11. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. Upon termination:

• Your right to use the Services ceases immediately
• We may retain your data as required by law or for legitimate business purposes
• Provisions that by their nature should survive termination will survive, including intellectual property, limitation of liability, and dispute resolution

12. Governing Law

These Terms are governed by and construed in accordance with the laws of Kenya. Any disputes arising from or relating to these Terms or the Services shall be resolved through good-faith negotiation first, and if unresolved, through binding arbitration in Nairobi, Kenya.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised date. Your continued use of the Services after any changes constitutes acceptance of the updated Terms.
